ffirth Customer Terms and Conditions
These Terms and Conditions govern all quotations, orders, and purchases made through ffirth, a division of Kander Design Inc. (“ffirth”). By accepting a quotation, signing a purchase agreement, or placing an order, the customer (“Customer”) agrees to these Terms and Conditions.
1. Product Information
Many products offered through ffirth are handcrafted, made-to-order, or produced in limited quantities by independent makers and design partners. Product descriptions, dimensions, finishes, colours, materials, and photographs are provided for general reference only. Minor variations in colour, grain, texture, finish, dimensions, and other characteristics are inherent in handcrafted products and are not considered defects.
2. Quotations
All quotations are subject to availability and remain open for acceptance for the period specified in the quotation or, if no period is specified, for 30 days. Quoted pricing is based on information available at the time of the quotation and may be revised if the scope of the order changes. Shipping costs are quoted separately unless expressly stated otherwise.
3. Deposits and Order Confirmation
Orders are not confirmed until (a) the Customer has accepted the quotation or purchase agreement and (b) the required deposit has been received by ffirth. Once an order is confirmed and production has commenced, all deposits are non-refundable.
4. Payment
Unless otherwise specified in writing, the balance of the purchase price, together with any applicable taxes, shipping charges, duties, or other costs, is due prior to shipment or delivery. ffirth reserves the right to delay shipment or delivery until payment has been received in full.
5. Lead Times
All lead times are estimates only. Production and shipping schedules may be affected by supplier availability, manufacturing delays, transportation disruptions, customs processing, weather conditions, or other circumstances beyond ffirth’s reasonable control. ffirth shall not be liable for delays that do not result from its own gross negligence or wilful misconduct.
6. Shipping and Delivery
Shipping dates are estimates only. Unless otherwise agreed in writing, products will be delivered to the address specified by the Customer. The Customer is responsible for inspecting products promptly upon delivery and for reporting any shipping damage or defects in accordance with Section 7. Additional delivery, storage, redelivery, installation, lift-gate, white-glove, or access-related charges are the responsibility of the Customer unless expressly included in the quotation.
7. Damaged or Defective Products
The Customer must inspect all products immediately upon delivery. Any claim for shipping damage, manufacturing defect, or material non-conformity must be submitted to ffirth in writing within five (5) business days after delivery and must include photographs and supporting documentation. ffirth may, at its discretion, require additional information before processing a claim. If a claim is accepted, the remedy shall be limited to repair, replacement, store credit, or refund of the affected product, as determined by ffirth and the applicable maker.
8. Cancellations and Returns
Because many products offered by ffirth are custom-made, made-to-order, or specially sourced, all sales are final. Deposits are non-refundable once production has commenced or materials have been purchased by the applicable maker. If a cancellation request is received before production has commenced and before materials have been purchased, ffirth may cancel the order and refund the deposit less a 10% administrative fee. ffirth's good faith determination of the order status based on information provided by the maker shall be final and binding.
9. Warranty
Products are subject only to the warranty, if any, provided by the applicable maker or manufacturer. ffirth acts solely as an intermediary in coordinating warranty claims. Except as expressly required by law, ffirth does not provide any separate or additional warranty regarding products sold through its platform.
10. Intellectual Property
All trademarks, logos, photographs, product designs, and other content appearing on ffirth’s website, marketing materials, or quotations remain the property of their respective owners and may not be reproduced or used without permission.
11. Limitation of Liability
To the maximum extent permitted by law:
a) ffirth shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of use, loss of opportunity, or business interruption; and
b) ffirth’s total liability arising out of or relating to any order shall not exceed the amount actually paid by the Customer for the specific product giving rise to the claim.
12. Force Majeure
ffirth shall not be liable for any delay or failure to perform its obligations resulting from events beyond its reasonable control, including natural disasters, transportation interruptions, labour disputes, governmental actions, supplier shortages, pandemics, or other force majeure events.
13. Governing Law
These Terms and Conditions are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein. The parties irrevocably attorn to the exclusive jurisdiction of the courts of British Columbia.
14. Entire Agreement
These Terms and Conditions, together with the applicable quotation, purchase agreement, and any order-specific terms agreed in writing, constitute the entire agreement between ffirth and the Customer with respect to the purchase of products.
